End User Agreement

1. Introduction and Acceptance

These End User Terms (the "Terms") govern your personal access to and use of the Kontali platform and related services (the "Platform"). They apply to you as an individual user ("You" or "User") authorized by your employer or organization (the "Customer") to access the Platform.

Your right to use the Platform is conditional on the Customer having entered into a valid subscription agreement with Kontali Analyse AS ("Kontali"). You are granted access to the Platform as made available under that agreement from time to time. Kontali makes no separate commitments to you regarding the scope, availability, or content of the Platform beyond what is set out in these Terms.

These Terms do not replace or modify the agreement between Kontali and the Customer. In case of conflict between these Terms and that agreement, the agreement between Kontali and the Customer shall take precedence.

2. Definitions

In these Terms, the following terms have the meanings set out below:

"Agreement" means the subscription agreement entered into between Kontali and the Customer, under which the Customer has been granted access to the Platform.

"Authorized User" / "You" / "User" means an individual employed by or otherwise affiliated with the Customer who has been granted personal access to the Platform by the Customer in accordance with the Agreement.

"Content" means all data, analyses, reports, charts, dashboards, commentary and other material made available to You through the Platform.

"Derived Data" means any analysis, model, report or other output that You create using the Content in combination with other data, provided that such output does not reproduce the Content in a way that would allow others to use it as a substitute for the Platform.

"Forecast Content" means forward-looking elements of the Content, including but not limited to price scenarios, production forecasts, biomass estimates, sales projections and market share distributions.

"Platform" means the Kontali EDGE platform, including all associated tools, features and services made available to You from time to time.

3. Your Access to the Platform

As an Authorized User, you are granted personal access to the Platform as made available by Kontali from time to time under the subscription agreement between Kontali and the Customer. The scope and content of the Platform may change over time in accordance with that agreement.

Your access is personal to you and is conditional on the Customer maintaining a valid subscription with Kontali and on you remaining an authorized User. If the Customer's subscription expires or is terminated, or if the Customer withdraws your authorization, your access will cease without further notice.

4. Access, Use of Services and Content

4.1 Your Account

  • Your user account is personal to you. You may not share your login credentials with anyone else or allow others to access the Platform through your account. Sharing your login credentials or access codes constitutes a material breach of these Terms. Kontali reserves the right to immediately notify, suspend, or permanently revoke your access in case such a practice is reported or detected.
  • You must use your business e-mail address as your username and keep your access codes or password confidential. If you suspect that your account has been accessed without your authorization, you must notify your employer immediately.
  • Your access to the Platform is tied to your role and employment. If you leave your organization or no longer require access, you must deactivate your account.
  • Any rights not expressly granted in the Agreement are reserved by Kontali.

4.2 Internal Use

  • Unless otherwise agreed in the Agreement, the Platform and its Content are provided for internal business use within your organization. This means you may use the Content for your own work tasks, internal analyses, decision-making, planning and reporting.
  • You may share Content with colleagues within your organization who have a legitimate business need to access such Content, and, where strictly necessary, with professional advisers (such as auditors or legal counsel) who are bound by similar confidentiality obligations.
  • You may create your own analyses or outputs based on the Content ("Derived Data") for internal purposes. Kontali does not claim ownership of such Derived Data, provided it does not reproduce the Content in a way that could substitute for the Platform.

4.3 Limited External Use (Non-Forecast Content Only)

The Customer's default license does not include a general right to externally redistribute Content. However, as part of normal business communication, the User may, without purchasing a separate distribution license, make limited external use of the Content (for example in presentations or client reports), provided that all of the following conditions are met:

  • The extracts are insubstantial and non-systematic, so that recipients cannot reconstruct any material part of Kontali's underlying data, models or time series, and cannot use the material as a substitute for a subscription;
  • The Content is used only as incidental support to your own analysis or communication, not as a stand-alone data product;
  • All external material clearly attributes Kontali as the source (e.g. "Source: Kontali" or "Source: Kontali Analyse AS") and does not remove or obscure any Kontali branding or proprietary notices;
  • Forecast Content may never be shared externally.

Any external use beyond what is expressly allowed under this clause requires a separate license or an extended distribution right, to be agreed and reflected between Kontali and the Customer. Kontali reserves the right to offer such extended licenses on separate commercial terms.

4.4 Screenshots and Visualisations

  • Users may capture screenshots or export images of charts, tables, and dashboards displayed in the Platform for legitimate internal business purposes.
  • External use of screenshots or visualizations is permitted only within the boundaries of the limited external use set out in clause 4.3 and is subject to the same conditions, including attribution and restrictions on scope, frequency and Forecast Content.
  • The User shall not:
    • Systematically capture, scrape or export screenshots or images for the purpose of building alternative databases, dashboards or tools; or
    • Remove, crop or alter Kontali's branding, watermarks or other identifiers in such a way that the origin of the Content is not clear.

4.5 Data Exports

  • Where the Services allow the User to export data or reports (for example in Excel, CSV or PDF format), such exports may be used freely for the Customer's internal business purposes.
  • The User shall not make exported data or reports available to third parties, except as permitted under limited external use in clause 4.3, and must not use exports to reconstruct or replicate the Platform's content for others.

4.6 API Use

If you have been granted API access, you must use it only in accordance with Kontali's technical guidelines and the same content use rules that apply under this clause 4. You may not share API access with others or use API access to systematically copy or mirror the Content.

4.7 AI Use

Kontali provides its own AI services. If not accessible to you, please contact your employer to receive information about available AI services.

You may not upload, submit or otherwise use any Content, exports, screenshots, API outputs or Derived Data in or through any artificial intelligence, machine learning, generative AI or similar tool or system, including tools such as ChatGPT, Claude, Microsoft Copilot or similar services, unless Kontali has given prior written approval.

This applies regardless of whether the tool is operated by you personally, by your employer or by a third-party provider, and includes any use for training, prompting, analysis or automated processing based on the Content.

4.8 Prohibited Uses

In addition to the restrictions set out in these Terms, you may not:

  • Share, sell, license, sub-license, assign, transfer, pledge, lease, rent, distribute or otherwise make the Services or Content available to any third party, except as expressly permitted in these Terms;
  • Use the Services or Content to build or support a product or service that competes with Kontali or that has materially similar scope or value proposition;
  • Systematically download, scrape, mine or extract Content beyond normal, reasonable use;
  • Attempt to reverse engineer or obtain the source code or underlying structure of the Platform; or
  • Use the Services or Content in violation of applicable law.

4.9 Monitoring, Audit and Enforcement

Kontali monitors usage of the Platform to protect its proprietary rights and ensure compliance with these Terms. If Kontali has reasonable grounds to suspect misuse, it may suspend your access and notify your employer.

This does not limit Kontali's right to seek other remedies for infringement of its intellectual property rights.

5. Intellectual Property Rights and Ownership

The Platform and all Content are and remain the exclusive property of Kontali (and its licensors, where applicable). You acquire no ownership rights by using the Platform. Your access is a personal, limited right to use the Platform as set out in these Terms.

Kontali always strives to improve the Platform and its Content and highly appreciates User feedback. If you provide feedback or suggestions about the Platform, Kontali may use these freely to develop and improve its products.

6. Termination of Your Access

Your access to the Platform ends automatically when the Customer's subscription expires or is terminated, when you are no longer employed by or otherwise affiliated with the Customer in a capacity that qualifies you as an authorized user, or when the Customer or Kontali withdraws your authorization for any other reason.

You are personally responsible for ceasing all use of the Platform immediately upon becoming aware that any of the conditions above have been met. You must not continue to use the Platform on the basis that the Customer has not yet formally revoked your access. If you are in doubt as to whether you remain an authorized user, you must clarify this with your employer before continuing to use the Platform.

7. Personal Data

By using the Platform, Kontali will process certain personal data about you, such as your name, business email address and usage activity, for the purpose of providing and maintaining your access to the Platform.

Kontali may also use aggregated and anonymized usage data for service improvement and analytics. Such data will not identify you individually.

8. Confidentiality

The Content and any non-public information about the Platform made available to you constitute confidential information belonging to Kontali. You must keep it confidential and must not disclose it to any person outside your organization, except as expressly permitted under clause 4.

Confidential Information does not include information that you can demonstrate:

  • Was already lawfully known to it without confidentiality obligation at the time of disclosure;
  • Becomes publicly available through no fault of the User;
  • Is lawfully received from a third party without confidentiality obligation; or
  • Is independently developed by the User without use of or reference to the Confidential Information.

Within your organization, you may share Content with colleagues who need it for legitimate internal business purposes. Any external sharing with professional advisers (such as lawyers or auditors) is only permitted where those advisers are bound by confidentiality obligations.

If you are required by law or court order to disclose any confidential information, you must notify your employer promptly so that appropriate steps can be taken.

Your confidentiality obligations under this clause continue for five (5) years after your access to the Platform ends.

9. Disclaimer

The Platform and Content are provided on an "as is" and "as available" basis. Kontali does not warrant that the Platform will be uninterrupted or error-free, or that the Content is complete, accurate or up to date at all times.

The Content is based on data and assumptions from multiple sources which Kontali believes to be reliable, but which may contain inaccuracies or be subject to uncertainty. You are solely responsible for any decisions, assessments, or actions you take based on the Content. Kontali is not liable for any decisions, investments or other actions taken in reliance on the Content.

10. Compliance with Laws

You must use the Platform and Content in compliance with all applicable laws and regulations, including data protection, sanctions, and export control laws. You are responsible for ensuring that your use of the Platform is lawful in the jurisdiction in which you operate.

11. Change of the Terms

Kontali may update these Terms from time to time. Kontali will prompt you to accept the updated terms upon login and notify of any material changes. By accepting the updated terms or continuing to use the Platform after the updated Terms take effect, your continued use will be interpreted as acceptance.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Norway.

Any dispute, controversy or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the ordinary courts of Norway. Unless otherwise agreed, the agreed venue is Møre og Romsdal District Court in Kristiansund.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
